Website Terms of Use

These Website Terms of Use govern access to and use of the public website operated by Miller Financial Analytics.

Draft for Attorney Review | Effective Date: September 21, 2026

These Website Terms of Use ("Terms") govern access to and use of the public website operated by Miller Financial Analytics ("MFA," "we," "us," or "our"). These Terms apply to website visitors, prospective clients, and other users of the website. They do not replace any separately signed Service Agreement, Statement of Work, Change Order, or other client agreement.

1. Acceptance of Terms

By accessing or using this website, you agree to these Terms and acknowledge the Website Privacy Policy. If you do not agree, do not use the website. Your use of the website after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.

2. Purpose of the Website

The website provides general information about Miller Financial Analytics, its financial reporting and analysis services, service descriptions, starting prices or pricing estimates, contact methods, and related business information. Website content is provided for informational and administrative purposes only and may not describe every term, condition, limitation, or requirement applicable to a particular client engagement.

3. No Client Relationship

Visiting the website, using any pricing calculator or estimator, submitting a contact form, exchanging preliminary communications, or receiving general information from MFA does not create a client relationship, obligate MFA to perform services, or establish a final scope or price. A client relationship begins only through MFA's formal engagement process, including execution of the applicable Service Agreement and Statement of Work or other written engagement document required by MFA.

4. No Advice or Recommendations

The website and its content do not provide financial advice, legal advice, tax advice, accounting or certified public accounting advice, investment advice, securities recommendations, insurance advice, or other regulated professional advice. MFA provides financial reporting and analytical services and does not use the website to provide advice, guidance, recommendations, or direction concerning actions a visitor or client should take.

Website content should not be relied upon as a substitute for advice from an appropriately licensed professional when such advice is required.

5. Pricing, Calculators, and Estimates

Prices shown on the website may be starting prices, examples, or estimates. Any website calculator or estimator is provided for convenience and does not create a binding quote, offer, or obligation.

Estimated pricing may depend on transaction volume, the complexity, consistency, organization, and condition of information supplied, the services selected, and other engagement-specific factors. MFA may review client information before establishing a final price.

The final scope, deliverables, and price for an engagement are established only in the applicable signed Statement of Work or other written engagement document.

6. Accuracy, Availability, and Changes to Website Information

MFA makes reasonable efforts to keep website information useful and current, but does not guarantee that all content will always be complete, current, accurate, error-free, or continuously available.

MFA may update, remove, suspend, or change website content, service descriptions, pricing, calculators, features, or functionality at any time. A change to public website content does not by itself modify an existing signed client agreement.

7. Acceptable Use

You may use the website only for lawful purposes. You may not attempt to gain unauthorized access to the website, server, database, accounts, or systems; interfere with website operation or security; introduce malware, malicious code, or harmful material; use automated tools to abuse, overload, scrape, spam, or disrupt the website; misuse contact forms or security features; impersonate another person or business; submit knowingly false or unlawful information; or use the website in a manner that violates applicable law or the rights of MFA or any third party.

MFA may restrict or block access when reasonably necessary to protect the website, its users, or its systems.

8. User-Submitted Information

You are responsible for the accuracy and lawfulness of information you submit through the website.

Do not submit account passwords, online-banking credentials, Social Security numbers, tax identification numbers, full payment-card information, sensitive financial documents, or other information that is unnecessary for an initial inquiry through the public contact form.

Information submitted through the website is handled in accordance with the Website Privacy Policy. Submitting information does not guarantee that MFA will accept an engagement or respond within any particular period.

9. Intellectual Property

Unless otherwise stated, the website and MFA-created content, including text, branding, logos, graphics, layouts, service descriptions, original report or template examples, calculators, and other proprietary materials, are owned by MFA or used with permission.

Subject to applicable law, you may view and use the website for legitimate personal or business informational purposes, but you may not copy, reproduce, publish, distribute, sell, license, commercially reuse, or create substantially similar commercial materials from MFA proprietary content without prior written permission.

Third-party trademarks, software, and other materials remain the property of their respective owners.

10. Third-Party Services and Links

The website may use or link to third-party services, including Cloudflare for security and bot protection and Stripe for payment processing. It may also link to other external websites or services.

Third parties operate under their own terms, privacy policies, security practices, and availability. MFA does not control and is not responsible for the content, availability, policies, acts, or omissions of third-party websites or services. Use of a third-party service may require you to accept that provider's terms.

11. Disclaimer of Warranties and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLIC WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." MFA DISCLAIMS WARRANTIES RELATING TO THE WEBSITE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, OR UNINTERRUPTED AVAILABILITY, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MFA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING SOLELY FROM ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PUBLIC WEBSITE, INCLUDING LOSSES RESULTING FROM WEBSITE INTERRUPTIONS, ERRORS, MALICIOUS THIRD-PARTY ACTIVITY, OR RELIANCE ON NON-BINDING WEBSITE INFORMATION. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Any liability arising from an actual client engagement is governed by the applicable signed client agreements rather than this website-only clause.

12. Changes to the Website and These Terms

MFA may modify the website and these Terms from time to time. The effective or revised date will be updated when material revisions are posted. Changes apply prospectively to website use unless applicable law requires otherwise.

Existing signed client agreements are not modified merely because these website Terms change.

13. Governing Law and Venue

These Terms and disputes arising solely from use of the public website are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles that would require application of another jurisdiction's law.

Subject to applicable law, any judicial proceeding relating solely to these Terms or use of the public website will be brought in a court of competent jurisdiction located in Pennsylvania. Client-engagement disputes remain governed by the applicable signed client agreements.

14. Severability and Entire Website Terms

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum lawful extent or severed as appropriate, and the remaining provisions will continue in effect.

These Terms, together with the Website Privacy Policy and any other website notice expressly incorporated by reference, constitute the terms governing use of the public website. They do not supersede a signed client agreement concerning an actual engagement.

15. Contact

Questions concerning these Terms may be submitted through the contact form on the Miller Financial Analytics website.

Please do not use the public contact form to transmit sensitive financial documents, passwords, banking credentials, or other highly sensitive information.

Attorney Review Note: Sections concerning warranty disclaimers, limitation of liability, governing law, and venue should be reviewed by Pennsylvania counsel before publication.
